Sell a Medical Practice in South Florida

A practice is not sold like a shop. Who may own it, what happens to the patient records, whether the insurance contracts follow the sale and whether you stay on all shape the price, the buyer pool and the timeline.

Who Can Buy a Practice

Many healthcare practices must be owned or controlled by licensed professionals, and some can be bought by non-clinicians only through a management company or a specific structure. Med-spas and wellness businesses have their own rules about medical direction. The buyer pool, and so the price, depends on which applies to yours. Your healthcare attorney should confirm the ownership rules for your specialty before the practice is marketed.

How Practices Are Valued

Buyers look at collections rather than billings, the payer mix between insurance, Medicare, Medicaid and cash, the number of active patients, the providers who produce the revenue and whether they stay. A practice that depends entirely on the selling physician is worth less unless the seller stays through a transition, which is why many practice sales include an employment or consulting period.

Patient Records and Notice

Records must stay confidential and available to patients after the sale, and Florida's licensing boards have rules about notifying patients and designating a records custodian when a practice changes hands. The buyer usually becomes custodian under a written agreement. Confirm the current notice and custody rules with your board and your attorney.

Credentialing and Contracts

Insurance contracts generally do not transfer automatically, and a buyer has to be credentialed with each payer, which can take months. Revenue can dip in that gap unless the transition is planned. The equipment leases, the software licence, lab and billing contracts and the lease each need to be assigned or replaced.

Confidentiality With Patients and Staff

Patients who hear a rumour may move to another provider and staff may leave. The practice is marketed by specialty and area only, buyers are licensed professionals or qualified groups who sign an NDA, and patients and staff are told when the transition is ready, usually by the seller and the buyer together.

Questions Owners Ask

Can a non-doctor buy my medical practice?
It depends on the specialty and the structure. Some practices must be owned by licensed professionals; others can be bought through a management company. Your healthcare attorney should confirm the rules for your practice before it is marketed.
Do I have to stay after I sell?
Not always, but a practice that depends on you is worth more with a transition period. Six to twenty-four months of employment or consulting is common, and it is negotiated with the price.
What happens to patient records when I sell?
They go to the buyer as custodian under a written agreement, remain confidential and remain available to patients, and patients are notified as your licensing board requires. Confirm the details with your board.
What does a business broker charge?
Brokers selling small businesses usually charge a success fee paid from the proceeds at closing, commonly quoted in the market at around ten percent of the price, often with a minimum fee; larger sales are usually priced on a sliding scale. BreakThru's fee is set out in writing in the listing agreement before you sign anything, and the valuation costs nothing.
