Disposition and Portfolio Rebalancing for Family Offices
Sales in sequence, tenants handled lawfully, and proceeds that land where the CPA expects them
Rebalancing out of property is harder than buying into it. The assets are occupied, the market can tell when one owner is selling several things at once, a principal may not want a sale noticed, and the proceeds have to arrive in the right entity in the right tax year. BreakThru Realty plans a disposition as a sequence rather than a listing: which asset goes first and why, how each tenant is treated under Florida law, how much of the sale is visible, and how the closing statements reach the office’s CPA.

Deciding the Order of Sale
The first meeting is about sequence, not price. Which assets have leases expiring and can be delivered vacant without a dispute; which are seasonal and show better in the winter months when buyers from the north are here; which sit in the same building or the same street, where two listings at once would compete with each other; which need work before they are shown and which should go as they are; and which the CPA would rather close in one tax year than the next. The brokerage lays the whole portfolio out on one page with a proposed order and a reason for each position, and the committee rearranges it.
Occupied Property and Florida Tenant Rules
A lease survives a sale in Florida, so a tenant with a year left has a year left, whoever owns the building. A tenant on a month-to-month term is entitled to written notice before the tenancy ends, measured in days the statute fixes, and a tenant cannot be asked to leave early without an agreement they sign freely. Showings of an occupied unit require reasonable notice under the lease and the statute, and the brokerage gives it in writing every time. Deposits and advance rent transfer to the buyer with a notice to each tenant, and the buyer will want an estoppel from every tenant before closing, so the brokerage collects them early and resolves any disagreement about rent or deposits before it becomes a contract problem.
Quiet Marketing and Its Trade-off
An office can sell without a public listing, and the brokerage will do it, but it says plainly what that costs. BeachesMLS allows a listing to be registered as office-exclusive or coming-soon and lets a seller withhold the address from consumer websites, so a sale can be marketed to a defined group of verified buyers and their brokers without the property appearing on every portal. Fewer eyes usually means fewer offers, and fewer offers can mean a lower price than an open listing would have found. Florida still requires the broker to present every offer received, the seller’s disclosure duties do not shrink because the listing is quiet, and the committee signs off on that trade before the listing is registered.
Staged Listings Across One Portfolio
When several assets are going, the brokerage releases them in stages, so that no buyer or competing broker reads a wholesale exit into the listings and prices accordingly. Each property is marketed on its own merits, under its own entity, with its own photographs and its own comparable sales, and the office’s name appears nowhere in the marketing. Listings in the same building or the same street are separated by weeks, and the timing is adjusted as the first ones go under contract. Where a portfolio sale to a single buyer is better than a sequence, the brokerage says so and runs it as one negotiation with one data room.
Pricing Without Explaining Why You Are Selling
Buyers and their agents ask why a property is for sale, and the honest answer for an office rebalancing an allocation is one that invites a low offer. The brokerage answers with the property, not the owner: it prices each asset from the comparable sales in its own submarket, with the research pages on this site as the starting point, shows the buyer what supports the number, and does not discuss the office’s portfolio, timetable or reasons. Pricing is written up for the committee as a range with the evidence on each side, revisited after the first weeks of showings, and reported with the offers side by side rather than one at a time.
Closing Statements, Proceeds and the CPA
Each sale closes in the name of the entity that holds it, and the settlement statement, the deed and the tax documents go to the office’s CPA and controller as soon as the closing agent issues them. Net proceeds are wired only to an account the office has confirmed by phone with the closing agent, never to instructions received by email. Where the seller is a foreign entity or person, federal FIRPTA withholding can apply at closing and the CPA and attorney say what is due. Where the proceeds are to fund a like-kind exchange, the CPA and the qualified intermediary are in the file before the listing goes live, because the exchange’s deadlines run from the closing date and cannot be extended.
Reporting the Exit
While the sequence runs, the office receives a short written note on a fixed day each week: showings, feedback, offers received and how each was answered, what is waiting on the office and what the brokerage expects next. When each property closes, its file in the data room is completed with the contract, the disclosures, the inspection responses, the estoppels, the settlement statement and the recorded deed. When the last one closes, the committee gets a single closing report for the whole program, with each asset’s pricing history and outcome against the plan it approved at the start.
Our Privacy Standard
- A confidentiality agreement before the first conversation
- Ask and a mutual non-disclosure agreement comes to you or your representative before any detail is shared, and it covers everyone at the brokerage who works on the file.
- Your name stays out of our marketing
- BreakThru Realty does not use a client’s name, likeness, team or transaction in its advertising, social media, website or press, before or after closing, unless the client asks for it in writing.
- Showings by appointment with verified buyers only
- When you sell, your home is shown only to buyers whose identity and proof of funds or pre-approval have been checked, by appointment, with personal items and photographs put away beforehand.
- Address withheld from internet display where the MLS allows
- A seller can ask for a listing’s address to be kept off consumer websites within the rules of the multiple listing service, and for interior photographs to leave out anything personal.
- One point of contact
- A single named contact at the brokerage runs the file, so your details are not passed around an office.
- We work through your people
- If you would rather we deal with your agent, manager, business manager, attorney or family office, that is the channel we use, and nothing is sent anywhere else.
- Documents by secure link, wires confirmed by phone
- Files are shared by secure link rather than as open email attachments, and wiring instructions are always confirmed by a phone call to a known number before any money moves.

Questions We Are Asked
- Can tenants be asked to leave before a rented property is sold in Florida?
- Not unilaterally. A lease survives the sale, a month-to-month tenancy ends only after the written notice the statute requires, and a tenant can leave early only by an agreement they enter freely. The brokerage works within that: it sells occupied property with the leases disclosed and estoppels in hand, or it times the listing to a lease expiry so the unit can be delivered vacant.
- Should a family office sell several South Florida properties at the same time?
- Usually not all at once. Listings in the same building or street compete with each other, and a cluster of sales under related entities can read as a hurried exit. The brokerage proposes a sequence based on leases, seasons, condition and the CPA’s tax-year preferences, staggers the releases, and adjusts as the first properties go under contract.
- What does a withheld-address listing cost a seller in practice?
- Fewer people see it, so there are usually fewer showings and fewer offers, and the final price can sit below what an open listing would have reached. The gain is privacy and control over who walks through. The broker still has to present every offer and the seller still has to make every disclosure Florida requires. The committee weighs that trade in writing before the listing is registered.
- Who receives the closing statement and net proceeds when an entity sells?
- The settlement statement, the deed and the tax reporting documents go to the people the office names, normally the CPA and the controller, as soon as the closing agent issues them. Proceeds are wired to an account the office has confirmed by telephone with the closing agent. If a foreign seller is involved, the CPA and attorney address FIRPTA withholding before the closing date.
- Can a sale be timed to a like-kind exchange the office has already started?
- Yes, provided the CPA and the qualified intermediary are in the file before the listing goes live. The exchange’s identification and closing deadlines run from the closing date and cannot be extended, so the brokerage plans the marketing period, the inspection period and the closing date around them and reports progress against those dates each week.
