How to Buy a Restaurant in Florida
Most restaurant purchases are decided by the lease and by whether the sales can be verified. Start there: read the lease for its term, options, rent and assignment, then match the sales the seller reports with merchant statements and sales tax filings before you discuss price.

The Lease Comes First
A restaurant cannot move without losing much of what you paid for, so the lease is the asset. Read the base rent and its increases, the share of taxes, insurance and maintenance, the years remaining with renewal options, the use clause, and what the landlord requires to assign it. A lender usually wants the lease to cover the loan term. Ask early whether the landlord will consent.
Verify the Sales
Compare the reported sales with point of sale reports, merchant processing statements, bank deposits and Florida sales tax returns month by month. Cash sales the seller says were not reported cannot be verified or financed. Look at sales by daypart and channel, including delivery platforms and their fees.
Food, Labor and Occupancy Costs
Food and beverage cost, labor and rent are the three costs that decide whether a restaurant makes money. Ask for supplier invoices, payroll reports and the scheduling system, and compare each cost with sales. If the owner works the line or manages the floor, budget for someone to do it.
The Liquor Licence
A beer and wine licence is tied to the business; a full liquor quota licence is limited by county population and is bought and sold separately, often for a substantial sum; a special restaurant licence depends on seating and food sales. Confirm the licence type, whether it is included, and its transfer with the Division of Alcoholic Beverages and Tobacco.
Equipment and Inspections
List the hood and fire suppression system, walk in coolers, ovens, fryers, grease trap and furniture, with age and whether each is owned or leased. Read the last health inspections from the Division of Hotels and Restaurants and the fire inspections; repeated violations are a cost and a reputation risk.
Staff, Recipes and the Brand
Find out which cooks and managers will stay and whether recipes, the name, the website, the social media accounts and the delivery platform listings transfer. A franchise adds the franchisor's approval, transfer fee and remaining term.
Financing and the Offer
SBA 7(a) financing is open only to buyers whose owners are all U.S. citizens or U.S. nationals living in the United States (since March 1, 2026), with an equity injection of at least ten percent of the project cost; other buyers use cash, seller financing or a conventional loan. Consult a lender about your eligibility. Many restaurant sales include a seller note and a training period. Make the offer contingent on the landlord's consent, the licence transfer and verification of the sales.

A licensed BreakThru Realty business broker can read the lease, the financials and the listing with you before you make an offer. Call or text (786) 914-1017, or start your acquisition plan: a broker reviews your budget, industry and timing and replies with the businesses that fit.
Looking for a Buyer for Your Restaurant?
Restaurant buyers ask about the lease first, then the sales they can verify, the licence, the equipment and the staff who will stay. Buyers working with BreakThru Realty have told us the concepts, locations and price ranges they want. A broker can check your restaurant against those requirements confidentially, without your staff or customers hearing about it.
Over 300 business buyers are already working with BreakThru Realty, seeking acquisitions across Florida. Before you list, a broker reviews what you own, the market around it and whether an existing buyer's requirements match. If none does, you see how we would position it to reach other qualified buyers.

Questions Buyers Ask
- What should I check first when buying a restaurant?
- The lease: its rent, the years left with options and the landlord's consent to assign it. Then verify the sales against merchant statements and sales tax returns.
- Does the liquor licence come with a restaurant?
- Only if the sale includes it. Confirm the licence type and its transfer with the Division of Alcoholic Beverages and Tobacco; a full liquor quota licence can be a large share of the price.
- Can I finance a restaurant purchase?
- Yes, when the sales and profit can be verified on tax returns. SBA loans apply only to eligible buyers; seller notes are common. Consult a lender early.
