How to Buy a Medical Practice in Florida

A medical practice is its providers, its patients and its payer contracts. Before you price one, confirm the structure you may own it through, how much of the revenue depends on the selling physician, and how long credentialing will take for the new owner.

Ownership and Clinic Licensing

Florida's Health Care Clinic Act can require a clinic licence from the Agency for Health Care Administration when a practice is not wholly owned by licensed health care practitioners or does not meet an exemption. Med spas, physical therapy and chiropractic practices each have their own rules. Have a healthcare attorney confirm the ownership structure and any licence the new owner needs before you sign a letter of intent.

Collections and Payer Mix

Ask for three years of collections by month and by provider, the payer mix (Medicare, Medicaid, commercial plans and self pay), denial and write off rates, and the accounts receivable aging. A practice that relies on one payer or one procedure carries risk if reimbursement changes. Match collections with tax returns and deposits.

Provider Continuity

If the selling physician produces most of the revenue, the practice is worth what stays when that physician leaves. Find out whether associate physicians, nurse practitioners and physician assistants will stay and on what terms, and agree the seller's working period and non compete.

Credentialing, Records and Compliance

Payer contracts and Medicare enrollment do not move automatically to a new owner; plan the change of ownership filings and credentialing before closing. Patient records transfer under federal and Florida privacy rules. Review billing compliance, because overpayments discovered later can follow a stock purchase.

Staff, Equipment and the Lease

List the staff and their tenure, the equipment with age and service history, the electronic health record system and its data, and the lease with its term, options and assignment clause. A lender usually wants the lease to cover the loan term.

Financing and the Offer

Healthcare lenders finance practice purchases on verified collections. SBA 7(a) financing is open only to buyers whose owners are all U.S. citizens or U.S. nationals living in the United States (since March 1, 2026), with an equity injection of at least ten percent of the project cost; other buyers use cash, seller financing or a conventional loan. Consult a lender about your eligibility. The offer should cover the seller's transition, the non compete, the treatment of receivables and what happens if credentialing is delayed.

Ownership and licensing of a healthcare practice is a legal question: confirm it with a Florida healthcare attorney.

Planning the Sale of Your Practice?

Physicians and healthcare groups buying a practice ask about collections, payer mix, provider continuity and who may own it under Florida law. A broker can review your practice confidentially against the requirements of buyers working with BreakThru Realty before anyone learns you are considering a sale.

Over 300 business buyers are already working with BreakThru Realty, seeking acquisitions across Florida. Before you list, a broker reviews what you own, the market around it and whether an existing buyer's requirements match. If none does, you see how we would position it to reach other qualified buyers.

Questions Buyers Ask

Does a non physician need a licence to own a medical practice in Florida?
Possibly. Under Florida's Health Care Clinic Act a practice not wholly owned by licensed practitioners may need an AHCA clinic licence unless an exemption applies. A healthcare attorney confirms it for your structure.
Why does credentialing matter when buying a practice?
Because the practice cannot bill insurers or Medicare under the new ownership until its enrollment and contracts are updated, and collections can pause. Start the filings early and plan the cash for the gap.
What makes a medical practice worth more?
Verified collections spread across payers and providers, a team that stays, a lease with years left, and a selling physician willing to introduce patients to the new owner.
