How to Buy an HVAC Company in Florida
In Florida, air conditioning is a necessity, which makes a well run HVAC company one of the steadier service businesses to own. Its value rests on three things a buyer must verify: the licence that lets it work, the maintenance agreements that bring customers back, and the technicians who stay.

The Licence and the Qualifier
Air conditioning contractors in Florida are licensed through the Construction Industry Licensing Board, either certified statewide or registered for a local area, and a company works under a licensed qualifying agent. If the seller is the qualifier and leaves, the company needs a new one before it can pull permits. Decide before the letter of intent whether you, a manager or a hired qualifier will hold that role, and confirm the steps with the board.
Maintenance Agreements
Service agreements that bring a technician to each home or building once or twice a year are the closest thing to recurring revenue in HVAC, and they lead to repairs and replacements. Ask for the agreement count by month, the renewal rate, the price, and whether customers pay monthly or annually. Agreements on autopay, held in software the business owns, transfer more reliably.
Replacement, Repair and New Construction
Split revenue three ways. Replacement installs carry large tickets and depend on sales skill and lead flow. Service and repair are steady and margin rich. New construction work comes from builders, is often lower margin, and can disappear when one builder slows down. A company with a large share from one builder has concentration risk; one with many homeowners and agreements has less.
Technicians and the Seasons
Florida summers bring the peak; the slower months test whether the company can keep its technicians busy. Ask for headcount, tenure, pay plans and EPA Section 608 refrigerant certifications, and find out which technicians hold customer relationships. Technician retention after closing is often the largest risk in the deal.
Fleet, Inventory and Software
List the vans and trucks with mileage, ownership and loans, the parts inventory and how it is counted, and the field service software that holds customer history, agreements and pricing. Confirm the phone numbers, website and review profiles transfer, because they carry the lead flow.
Financials and Customer Acquisition
Ask for three years of tax returns and profit and loss statements, revenue by type and by month, gross margin by job type, and marketing spend with the leads and sales it produced. If the owner sells most replacements personally, budget for a salesperson. Valuation follows the earnings after a replacement for the owner's roles is paid.
Financing and the Offer
SBA 7(a) financing is open only to buyers whose owners are all U.S. citizens or U.S. nationals living in the United States (since March 1, 2026), with an equity injection of at least ten percent of the project cost; other buyers use cash, seller financing or a conventional loan. Consult a lender about your eligibility. HVAC sellers often accept a note or an earnout tied to revenue or agreement retention, and a transition period in which the seller introduces the buyer to builders, property managers and major customers.

Thinking About Selling Your HVAC Company?
Technicians buying their first company, owners adding a trade and regional groups all ask the same questions: how many maintenance agreements, how many licensed technicians stay, how old the fleet is, how much revenue is replacement versus service. A broker can review your company confidentially against what HVAC buyers working with BreakThru Realty are looking for.
Over 300 business buyers are already working with BreakThru Realty, seeking acquisitions across Florida. Before you list, a broker reviews what you own, the market around it and whether an existing buyer's requirements match. If none does, you see how we would position it to reach other qualified buyers.

Questions Buyers Ask
- Do I need an HVAC licence to buy an HVAC company in Florida?
- The company needs a licensed qualifying agent to work and pull permits. You can hold the licence yourself or employ a qualifier; if the seller is the qualifier, plan the replacement before closing and confirm the process with the Construction Industry Licensing Board.
- How are HVAC companies valued?
- On their verified earnings after the owner's roles are replaced, adjusted for the share of recurring maintenance revenue, the technicians' tenure, the fleet's condition and customer concentration. Recent sales of comparable companies set the range.
- What is the biggest risk in buying an HVAC company?
- Losing the qualifier or the key technicians after closing. Plan the licence, retention and the seller's transition before you sign.
