Opportunity Zones in Florida: What the Incentive Does for a Commercial Investor
A qualified opportunity zone is a census tract designated for the federal incentive: an investor who reinvests a capital gain into a qualified opportunity fund that buys and improves property in the zone can defer the tax on that gain and, after a long enough hold, exclude the tax on the fund's own appreciation. Florida has hundreds of designated tracts, many of them commercial corridors. The rules are detailed and change; your CPA confirms them.

How the Incentive Works
Within 180 days of realising a capital gain, the investor puts the gain into a qualified opportunity fund. The tax on the original gain is deferred until the fund interest is sold or a fixed date, whichever is first. If the fund interest is held for at least ten years, the appreciation on the fund investment itself can be excluded from tax. The benefit is on the new investment's growth, which is why it suits a development or a value-add project more than a stabilised building.
The Property Rules
The fund must buy property in the zone after the designation, and either use it in a new way (original use) or substantially improve it: spend at least as much on improvements as the building's purchase basis, within a set period. A buy-and-hold of an existing leased building does not qualify on its own. Land has its own rules.
Finding Zones and Properties
The designated tracts are published by the Treasury and mapped by the state; a commercial agent can tell you whether a listing sits in one and whether a project there would meet the improvement test. Several of Florida's zones cover industrial and mixed-use corridors where redevelopment is already underway.
What to Confirm
Whether your gain qualifies and the 180-day clock; the fund structure and its compliance; the substantial-improvement budget and timeline; and the current law, which has changed since the program began. This page describes the program; your CPA and attorney apply it to you. BreakThru Realty does not give tax advice.

Frequently Asked Questions
- Can I buy an opportunity zone property directly?
- The incentive applies to an investment through a qualified opportunity fund, which can be your own entity set up for the purpose. A direct purchase without the fund structure gets no benefit. Your CPA and attorney set it up.
- Does an opportunity zone property have to be improved?
- Yes, unless the fund puts it to an original use; otherwise the fund must spend at least the building's purchase basis on improvements within the period the rules set. A stabilised building bought to hold does not qualify.
- Is the program still available?
- The rules and dates have changed since it began. Confirm the current status and deadlines with your CPA before you count on it.
